By accessing or using any V-sys products and services, including but not limited to vWork, vOffice, and vMarket (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.

2. Description of Services

V-sys Limited ("V-sys", "we", "us", or "our") provides the following products:

• vWork — An ERP/CMS platform for business management, database operations, and workflow automation.
• vOffice — A collaborative office document editing suite.
• vMarket — An AI-powered e-commerce marketplace platform.

3. Account Registration

To use certain features of our Services, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and update your information to keep it accurate and complete.
• Maintain the security of your account credentials and not share them with third parties.
• Notify us immediately of any unauthorized use of your account.

4. Subscription and Payments

Some of our Services are offered on a subscription basis (SaaS). By subscribing, you agree to:

• Pay the applicable subscription fees as described at the time of purchase.
• Subscription fees are billed in advance on a recurring basis (monthly or annually).
• You may cancel your subscription at any time, but refunds are subject to our refund policy.

5. Multi-Tenant Architecture

Our Services operate on a multi-tenant architecture. Each organization ("Tenant") maintains its own isolated data environment. You agree that:

• You will not attempt to access data belonging to other Tenants.
• Tenant administrators are responsible for managing user access within their organization.
• V-sys reserves the right to suspend or terminate Tenant accounts that violate these Terms.

6. AI Features and vCoins

Our Services may include AI-powered features ("vAI") that consume virtual credits ("vCoins"). You acknowledge that:

• AI-generated outputs are provided "as-is" and may not always be accurate.
• vCoins consumed by AI operations are non-refundable.
• We may modify AI features, pricing, or availability at any time.

7. Acceptable Use

You agree not to:

• Use the Services for any illegal or unauthorized purpose.
• Interfere with or disrupt the Services or servers.
• Attempt to gain unauthorized access to any part of the Services.
• Upload malicious code, viruses, or harmful content.
• Violate any applicable local, national, or international law.

8. Intellectual Property

All content, features, and functionality of the Services are owned by V-sys Limited and are protected by intellectual property laws. You retain ownership of your data uploaded to the Services.

9. Data and Content

You retain ownership of all data you upload to the Services. By using our Services, you grant V-sys a limited license to process your data solely for the purpose of providing the Services to you.

10. Limitation of Liability

To the maximum extent permitted by law, V-sys shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the Services.

11. Termination

We may terminate or suspend your access to the Services at any time, with or without cause, with or without notice. Upon termination, your right to use the Services will immediately cease.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our website. Your continued use of the Services after such changes constitutes acceptance of the new Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Hong Kong Special Administrative Region, without regard to its conflict of law provisions.
